\u201cAct\u201d means the Citizenship by Investment Act, No. \u00a014 of\u00a02015;<\/li>\n<\/ol>\n<p>\u201capproved irrevocable escrow\u201d means the instrument used to hold the relevant funds in trust in Saint Lucia for the applicant, by an authorised agent, a registered trust company or \u00a0an entity whose business is the provision of trust or\u00a0 custodial services, \u00a0to be released upon the fulfilment of the\u00a0 \u00a0conditions\u00a0\u00a0 as agreed to by both the applicant and the Board;<\/p>\n<p>\u201capproved enterprise project \u201d means an enterprise project that has been approved by the Minister,\u00a0 to be a qualifying investment, as set out in Schedule 4;<\/p>\n<p>\u201capproved real estate project\u201d means a real estate project that has been approved by the Minister,\u00a0 to be a qualifying investment, as set out in Schedule 3;<\/p>\n<p>\u201ccertified copy\u201d means a photocopy or facsimile of the original document certified by a notary, Attorney-at-Law or Commissioner of Oaths to be a true copy of the original;<\/p>\n<p>\u201cConvention\u201d \u00a0means\u00a0 the \u00a0Hague \u00a0Convention \u00a0abolishing the requirement of legalisation for foreign public documents concluded on 5th October, 1961 and entered into force on<\/p>\n<p>24th January, 1965;<\/p>\n<p>\u201cdeveloper\u201d means a person seeking the approval of the Minister to develop a real estate project as a qualifying investment, in accordance with Regulation 10;<\/p>\n<p>\u201centerprise project\u201d includes a project as set out in schedule 4; \u201cperson\u201d includes a body corporate or an unincorporated body;<\/p>\n<p>\u201cpolice certificate\u201d means an original and valid statement from a national law enforcement authority on the status of an applicant\u2019s criminal record in that country;<\/p>\n<p>\u201creal estate project\u201d includes a project as set out in schedule 3; \u201cspouse\u201d \u00a0means \u00a0an \u00a0individual \u00a0of \u00a0the \u00a0opposite \u00a0sex \u00a0to \u00a0the<\/p>\n<p>applicant who is legally married to the applicant and in<\/p>\n<p>the case of legal civil polygamy, \u201cspouse\u201d shall mean the first husband or wife;<\/p>\n<p><strong>Verification of financial resources and source of funds<\/strong><\/p>\n<p><strong>3.\u2014<\/strong>(1) The Board shall, with the approval of the Minister, appoint persons with the requisite qualification and experience to perform the service of verifying an applicant\u2019s financial resources and source of funds, for the purposes of the Citizenship by Investment Programme.<\/p>\n<p>(2) An appointment in sub-regulation (1) shall be on contract on such terms and conditions as may be agreed to by the parties.<\/p>\n<p>(3) The names of the approved persons appointed in sub- regulation (1), shall be published by the Board, in the <em>Gazette<\/em>.<\/p>\n<p><strong>Due diligence<\/strong><\/p>\n<p><strong>4.\u2014<\/strong>(1) The Board shall, with the approval of the Minister, appoint persons with the requisite qualification and experience to become due diligence service \u00a0providers \u00a0for \u00a0the\u00a0 purposes \u00a0of \u00a0the\u00a0 Citizenship \u00a0by Investment Programme.<\/p>\n<p>(2) An appointment in sub-regulation (1) shall be on contract on such terms and conditions as may be agreed to by the parties.<\/p>\n<p>(3) The names of the approved due diligence persons or bodies shall be published by the Board in the <em>Gazette<\/em>.<\/p>\n<p>(4) Due diligence fees as set out in paragraph 3 of Schedule 1, shall be charged separately from the Citizenship by Investment Programme processing and administration fees.<\/p>\n<p><strong>Marketing and promotion<\/strong><\/p>\n<p><strong>5.\u2014<\/strong>(1) \u00a0The Board shall, with the approval of the Minister, from time to time by contract, appoint marketing agents to promote, advertise and disseminate information on the Citizenship by Investment Programme.<\/p>\n<p>(2) A marketing agent appointed under sub-regulation (1) must \u2013 (a)\u00a0 possess the requisite professional qualifications, ability,<\/p>\n<p>resources, \u00a0experience, \u00a0expertise, \u00a0integrity \u00a0and \u00a0proven\u00a0capacity;<\/p>\n<p>(b)\u00a0\u00a0\u00a0 be appointed on contract on such terms and conditions as may be agreed to by the parties;<\/p>\n<p>(c)\u00a0\u00a0 \u00a0pay the annual licence fee as set out in paragraph 2 of<\/p>\n<p>Schedule 1; and<\/p>\n<p>(d)\u00a0\u00a0\u00a0 comply strictly with any guidelines issued by the Board on the\u00a0\u00a0 \u00a0publication of promotional information or advertisements in relation to the Citizenship by Investment Programme.<\/p>\n<p>(3) The names of the appointed marketing agents and any changes in such appointments shall be published by the Board, in the <em>Gazette<\/em>.<\/p>\n<p><strong>Authorised agent<\/strong><\/p>\n<ol start=\"6\">\n<li>An authorised agent must, in addition to satisfying all the requirements under section 31 of the Act \u2013<\/li>\n<\/ol>\n<p>(a)\u00a0\u00a0 \u00a0pay the annual licence fee as set out in paragraph 1 of<\/p>\n<p>Schedule 1; and<\/p>\n<p>(b)\u00a0\u00a0\u00a0 comply strictly with any guidelines issued by the Board in relation to the application process of the Citizenship by Investment Programme.<\/p>\n<p><strong>Qualifications, general requirements and procedures for Citizenship by<\/strong><\/p>\n<p><strong>Investment<\/strong><\/p>\n<p><strong>7.<\/strong>\u2014(1) An application for citizenship by investment may be submitted in electronic, typed or printed form by an authorised agent on behalf of the applicant.<\/p>\n<p>(2) The Unit shall have the right to require additional documents to establish whether an applicant satisfies the mandatory qualification criteria, including information pertinent to financial resources and qualifying dependants.<\/p>\n<p>(3) The applicant shall provide \u2013<\/p>\n<p>(a)\u00a0\u00a0 \u00a0a sworn affidavit to declare financial resources of at least<\/p>\n<p>US$3,000,000.00; \u00a0and<\/p>\n<p>(b)\u00a0\u00a0 \u00a0relevant supporting documents,<\/p>\n<p>in support of \u00a0the declared financial resources and source of funds.<\/p>\n<p>(4) The applicant shall submit with the application, and for any qualifying dependant who is 16 years of age or older, a police certificate, from his or her country of birth and from any other country in which he or she has resided for a period of 1 year or more during the \u00a010 \u00a0years \u00a0immediately \u00a0prior \u00a0to \u00a0submission \u00a0of \u00a0the \u00a0application.<\/p>\n<p>(5) \u00a0A qualifying dependant who is 16 years of age or older shall undergo a mandatory due diligence background check before any decision is made in relation to his or her application.<\/p>\n<p>(6) Where original documents or copies of original documents that have been issued by a third country are presented-<\/p>\n<p>(a)\u00a0\u00a0\u00a0 in the case of countries that are parties to the Convention, the translated documents with the original or\u00a0 certified copy of the original document must be authenticated by an Apostille,\u00a0 in accordance with the provisions of the Convention.<\/p>\n<p>(b)\u00a0\u00a0 \u00a0in \u00a0the \u00a0case \u00a0of \u00a0countries \u00a0that \u00a0are \u00a0not \u00a0parties \u00a0to \u00a0the<\/p>\n<p>Convention, \u00a0the \u00a0Board \u00a0may \u00a0accept \u00a0the \u00a0seal \u00a0or \u00a0stamp<\/p>\n<p>and the signature of the issuing authority on the original document or a copy of the original document authenticated by the appropriate government agency.<\/p>\n<p>(7) An applicant for citizenship by investment must satisfy all conditions specified under section 30 of the Act.<\/p>\n<p>(8) Every successful applicant shall attend in person, such office in Saint Lucia or before any Saint Lucian Embassy, High Commission or Consulate, to take the oath or affirmation of allegiance in whatever form as may be approved by the Minister in accordance with the laws of Saint Lucia.<\/p>\n<p>(9) The Board may grant up to a maximum of 500 applications for citizenship by investment, annually.<\/p>\n<p>(10) The Minister \u00a0may review\u00a0 the number of applications for citizenship by investment which may be granted annually.<\/p>\n<p><strong>Qualifying Investments under the Citizenship by Investment Programme<\/strong><\/p>\n<p><strong>8.<\/strong>\u2014(1)\u00a0\u00a0 \u00a0A qualifying investment under the Citizenship by Investment Programme \u00a0shall satisfy at least a minimum investment in \u2013<\/p>\n<p>(a)\u00a0\u00a0\u00a0 \u00a0the Saint Lucia National Economic Fund; (b)\u00a0\u00a0\u00a0 \u00a0an approved real estate project;<\/p>\n<p>(c)\u00a0\u00a0\u00a0 \u00a0an approved enterprise project; or<\/p>\n<p>(d)\u00a0\u00a0\u00a0 \u00a0the purchase of Government bonds.<\/p>\n<p>(2) \u00a0The \u00a0minimum investment for \u00a0each category \u00a0of\u00a0 qualifying investment, as approved by Cabinet, are set out in Schedule 2.<\/p>\n<p><strong>Requirements for investment in the Saint Lucia National Economic Fund<\/strong><\/p>\n<ol start=\"9\">\n<li>Where an applicant makes a non-refundable monetary contribution to the Saint Lucia National Economic Fund, in accordance with the relevant amount set out in paragraph 1 of Schedule 2, citizenship by investment may be granted.<\/li>\n<\/ol>\n<p><strong>Requirements for investment in an approved real estate project<\/strong><\/p>\n<ol start=\"10\">\n<li><strong> \u2014<\/strong>(1) The Minister shall, after consultation with Cabinet, from time to time, approve a real estate project as a qualifying investment, as set out in Schedule 3.<\/li>\n<\/ol>\n<p>(2) On the application of a developer in respect of a proposed real estate project, the Minister may, on the recommendation of the Unit and after consultation with Cabinet, approve the real estate project as a qualifying investment.<\/p>\n<p>(3) The Unit may consult with Invest Saint Lucia in considering potential real estate projects for recommendation to the Minister for approval for the purposes of the Citizenship by Investment Programme.<\/p>\n<p>(4) Where an applicant \u2013<\/p>\n<p>(a)\u00a0\u00a0\u00a0 executes a binding purchase and sale agreement for an investment in an approved real estate project; and<\/p>\n<p>(b)\u00a0\u00a0\u00a0 ensures \u00a0that \u00a0any \u00a0outstanding \u00a0balance \u00a0of \u00a0the \u00a0agreed purchase price is placed in an approved irrevocable escrow in Saint Lucia,\u00a0citizenship by investment may be granted.<\/p>\n<p>(5) Notwithstanding sub-regulation (4), the application for citizenship by investment shall require &#8211;<\/p>\n<p>(a)\u00a0\u00a0\u00a0 the investment in the real estate project to be at least the minimum investment requirement as set out in paragraph\u00a02 of Schedule 2;<\/p>\n<p>(b)\u00a0\u00a0\u00a0 the investment to have been approved and commenced or deemed to have commenced, which determination shall be made in accordance with guidelines published by the Unit;<\/p>\n<p>(c)\u00a0\u00a0\u00a0 all applicable processing and administration fees to be paid\u00a0 in \u00a0accordance \u00a0the \u00a0relevant \u00a0amount as \u00a0set \u00a0out \u00a0in paragraphs 4 and 5 of Schedule 1; and<\/p>\n<p>(d)\u00a0\u00a0\u00a0 any outstanding balance due to be placed in an approved irrevocable escrow within 30 days of receiving an approval.<\/p>\n<p>(6) A holder of an approved irrevocable escrow account in paragraph (5)(d), \u00a0shall comply with guidelines published by the Unit;<\/p>\n<p>(7) Beneficial ownership of the relevant property through a company, shall be permissible only if such company \u2013<\/p>\n<p>(a)\u00a0\u00a0 \u00a0has issued all of its authorised shares to the applicant;<\/p>\n<p>(b)\u00a0\u00a0 \u00a0is established and maintained under \u00a0the laws of Saint\u00a0Lucia;<\/p>\n<p>(c)\u00a0\u00a0 \u00a0is not an exempt or offshore entity; and<\/p>\n<p>(d)\u00a0\u00a0\u00a0 submits, through the applicant, evidence as to its beneficial ownership, as certified by the Registrar of Companies.<\/p>\n<p>(8) The investment in an approved real estate project that has been made as a qualifying investment under the Citizenship by Investment Programme shall not be sold or transferred for a period of at least five years after the granting of citizenship.<\/p>\n<p>(9) An approved real estate project in sub-regulations (1) and (2)<\/p>\n<p>shall be published by the Board in the <em>Gazette<\/em>.<\/p>\n<p><strong>Requirements for investment in an approved enterprise project<\/strong><\/p>\n<p><strong>11.<\/strong>\u2014(1) \u00a0The Minister shall, after consultation with Cabinet, from time to time, approve an enterprise project as a qualifying investment, as set out in Schedule 4.<\/p>\n<p>(2) On the application of an investor in respect of a proposed enterprise project, \u00a0the Minister may, on the recommendation of the Unit and after consultation with Cabinet, approve the enterprise project as a qualifying investment.<\/p>\n<p>(3) \u00a0The Unit may consult with Invest Saint Lucia in considering potential enterprise projects for recommendation to the Minister for approval for the purposes of the Citizenship by Investment Programme.<\/p>\n<p>(4) \u00a0Where \u00a0an \u00a0applicant makes\u00a0 an \u00a0investment in \u00a0an \u00a0approved enterprise project of at least the minimum requirement in accordance with the relevant amount set out in paragraph 3 of Schedule 2, citizenship by investment may be granted.<\/p>\n<p>(5) An applicant in sub-regulation (2) must-<\/p>\n<p>(a)\u00a0\u00a0\u00a0 invest in an enterprise project in at least the minimum amount set out in paragraph 3 of Schedule 2; and<\/p>\n<p>(b)\u00a0\u00a0\u00a0 create \u00a0no \u00a0less \u00a0than \u00a0three \u00a0permanent \u00a0jobs \u00a0through \u00a0the investment in the enterprise project.<\/p>\n<p>(6) Where more than one applicant make a joint investment in an enterprise project \u2013<\/p>\n<p>(a)\u00a0\u00a0 \u00a0each \u00a0applicant \u00a0must \u00a0invest \u00a0the \u00a0minimum \u00a0amount \u00a0of\u00a0$1,000,000 in the approved enterprise project;<\/p>\n<p>(b)\u00a0\u00a0\u00a0 the total minimum investment must be at least in the amount set out in Schedule 2; and<\/p>\n<p>(c)\u00a0\u00a0\u00a0\u00a0 the investment must create no less than six permanent jobs through the \u00a0enterprise project.<\/p>\n<p>(7) An approved enterprise project in sub-regulation (1) shall be published by the Board in the Gazette.<\/p>\n<p><strong>Requirements for purchase of Government bonds<\/strong><\/p>\n<p><strong>12.<\/strong>\u2014(1)\u00a0 Where \u00a0an \u00a0applicant \u00a0makes \u00a0a \u00a0purchase \u00a0of \u00a0Government bonds \u00a0in \u00a0accordance \u00a0with \u00a0the \u00a0National \u00a0Savings\u00a0 and \u00a0Development Bonds Act Cap. \u00a015.25\u00a0 in at least the minimum amount set out in paragraph 4 of Schedule 2, citizenship by investment may be granted.<\/p>\n<p>(2) A qualifying investment made under sub-regulation (1) shall \u2013 (a)\u00a0\u00a0 \u00a0be registered and remain in the name of the applicant;<\/p>\n<p>(b)\u00a0\u00a0\u00a0 remain in a five year holding bond from the date of first issue; and<\/p>\n<p>(c)\u00a0\u00a0 \u00a0not attract a rate of interest, for the duration of the bond.<\/p>\n<p><strong>Fees<\/strong><\/p>\n<p><strong>13.\u2014<\/strong>(1) For the purposes of sections 30, 31 and 40 of the Act \u2013 (a)\u00a0\u00a0\u00a0\u00a0\u00a0\u00a0 authorised agent annual licence fees;<\/p>\n<p>(b)\u00a0\u00a0 \u00a0promoter annual licence fees<\/p>\n<p>(c)\u00a0\u00a0 \u00a0marketing agent licence fees;<\/p>\n<p>(d)\u00a0\u00a0 \u00a0due diligence and background checks fees; (e)\u00a0\u00a0 \u00a0non-refundable processing fees; and<\/p>\n<p>(f)\u00a0\u00a0 \u00a0non-refundable administrative fees;<\/p>\n<p>are set out in Schedule 1.<\/p>\n<p>(2) Annual licence fees are payable by January 31st of each year.
